These Student Terms & Conditions (“Terms”) govern enrollment in and participation in continuing education courses, educational programs, and related services (“Courses”) offered or administered by Preferred Systems, Inc. (“Preferred Systems,” “Company,” “we,” “us,” or “our”).
By registering for, enrolling in, accessing, or participating in a Course, and/or by checking the box indicating acceptance of these Terms during registration, you (“Student” or “you”) acknowledge that you have read, understand, and agree to these Terms.
1. Course participation and attendance
Courses may be delivered in a classroom, through live online instruction, or through another delivery method authorized by Preferred Systems and applicable regulatory agencies.
To receive credit for a Course, you must satisfy all applicable attendance and participation requirements. Unless otherwise permitted by the applicable licensing or regulatory authority, you must attend and participate in the Course in its entirety. Failure to complete required attendance, participation, assignments, examinations, or other Course requirements may result in your being ineligible to receive credit.
2. Fees and enrollment
When a Course requires payment of a registration or enrollment fee, your enrollment is not considered complete until all required fees have been received. Course pricing, payment requirements, and any applicable additional fees will be disclosed during registration or in the promotional materials for the Course.
3. Continuing education credit
To receive continuing education credit, you must provide Preferred Systems with all information required for Course registration, attendance verification, regulatory reporting, and credit submission. You are responsible for ensuring that the information you provide is complete and accurate.
You must also successfully satisfy all applicable Course requirements, which may include:
- Attendance and participation;
- Identity verification;
- Assignments, assessments, or examinations;
- Course evaluations; and
- Other requirements established by Preferred Systems or the applicable authority.
Incorrect or incomplete information, failure to satisfy Course requirements, or failure to comply with regulatory attendance requirements may delay the reporting of your credit or result in credit not being awarded. If you requested continuing education credit and believe that it has not been properly reported within thirty (30) days after Course completion, contact Preferred Systems.
3.1 Accreditation and transfer of credit disclosure
Preferred Systems, Inc. is not an accredited school. Credits earned through Preferred Systems, Inc. may not transfer to an accredited school or educational institution.
Acceptance or transfer of any credit is determined solely by the receiving school, college, university, educational institution, licensing authority, certification organization, or other entity. Preferred Systems does not guarantee that any Course or credit will be accepted or transferred by another institution.
4. Policies and procedures
Students are required to review, understand, and comply with Preferred Systems’ applicable Continuing Education Administrative Policies and Procedures. These policies may address course attendance, participation, student identification, online Course requirements, course evaluations, academic integrity, professional conduct, confidentiality, and regulatory compliance.
By enrolling in or participating in a Course, you acknowledge that you are responsible for complying with all applicable policies and procedures. Failure to comply may result in denial or revocation of Course credit, removal from a Course, dismissal from an educational program, or other actions reasonably necessary to satisfy Company policies or regulatory requirements.
5. Student code of conduct
Students are expected to maintain professional and respectful conduct while participating in Courses.
5.1 Respectful behavior
You must maintain a respectful attitude toward instructors, other students, Preferred Systems personnel, and others participating in the educational environment. Disruptive, threatening, harassing, discriminatory, abusive, or inappropriate behavior may result in removal from a Course or additional disciplinary action.
5.2 Academic integrity
Students must maintain academic integrity. Plagiarism, cheating, falsification of attendance or participation, impersonation of another student, unauthorized assistance on assessments, and other forms of academic dishonesty are prohibited. Work submitted as your own must be original except where outside sources are appropriately cited or their use is otherwise authorized.
5.3 Confidentiality and privacy
Students must respect the privacy of instructors, other students, Company personnel, and Course participants. Personal or confidential information obtained through a Course may not be improperly disclosed, distributed, or used.
5.4 Non-discrimination
Preferred Systems is committed to providing educational programs without unlawful discrimination. Students and Course participants are expected to contribute to an educational environment that provides fair and respectful treatment regardless of race, color, religion, sex, national origin, age, disability, sexual orientation, or any other status protected by applicable law.
5.5 Course materials
Course materials are provided for your personal educational use unless otherwise expressly stated. You may not reproduce, publish, distribute, resell, upload, share, or commercially exploit Course materials without prior written permission from Preferred Systems or the applicable copyright owner.
5.6 Digital citizenship
Students participating in online Courses must behave responsibly and professionally. Trolling, cyberbullying, harassment, sharing inappropriate content, interfering with Course technology, or otherwise disrupting the online learning environment is prohibited.
6. Refund and cancellation policy
6.1 Student cancellations
Unless a different Course-specific policy is disclosed at registration, a cancellation request must be submitted in writing or by email and received by Preferred Systems at least twenty-four (24) hours before the scheduled start of the Course to qualify for a refund. Requests received less than twenty-four (24) hours before the Course begins are not eligible for a refund.
6.2 Company cancellation or rescheduling
If Preferred Systems cancels a Course, enrolled Students may be offered a rescheduled session of the same Course, when available, or a refund of the Course fee paid to Preferred Systems.
6.3 Refund requests
Eligible refund requests must be submitted through the designated contact method. Approved refunds will be processed within a reasonable period and ordinarily returned through the original payment method unless another method is determined appropriate.
6.4 Other circumstances
Except as specifically provided in these Terms or required by applicable law, Preferred Systems is not obligated to issue refunds under other circumstances. Students should consider their personal and business circumstances before enrolling in a Course.
7. Suspension or termination of participation
Preferred Systems may suspend or terminate a Student’s enrollment for reasons including:
- Failure to comply with these Terms or pay required fees;
- Failure to satisfy Course requirements;
- Academic dishonesty or disruptive or inappropriate conduct;
- Fraudulent attendance or identity information; or
- Conduct that jeopardizes regulatory compliance or Course approval.
Upon termination, a Student may lose access to Course materials and related benefits and may not be entitled to a refund, subject to applicable law. Preferred Systems may report suspected illegal activity, fraud, falsified attendance, or other conduct when appropriate or required by law or regulatory authorities.
8. Assumption of risk
Participation in educational Courses or related activities may involve certain inherent risks that cannot be completely eliminated. To the extent permitted by law, you voluntarily assume the ordinary risks associated with your participation in the Course.
9. Course content and outcomes
9.1 Educational purpose
Course content is provided for educational purposes. Preferred Systems strives to provide accurate and current information; however, laws, regulations, professional practices, licensing requirements, and other information may change.
9.2 No guarantee regarding content
To the extent permitted by law, Courses and Course materials are provided “as is.” Preferred Systems makes no guarantee regarding the completeness, accuracy, reliability, suitability, or continuing availability of Course content.
9.3 Professional advice
Unless specifically stated otherwise, Course materials are educational and are not a substitute for individualized legal, tax, financial, medical, regulatory, or other professional advice. Students are responsible for determining how Course information applies to their own professional activities and circumstances.
9.4 No guaranteed outcome
Preferred Systems does not guarantee that completion of a Course will result in any particular professional, licensing, educational, financial, employment, or career outcome. Preferred Systems’ role is limited to providing or administering the Course and related educational materials.
10. Limitation of liability and release
To the fullest extent permitted by applicable law, Preferred Systems and its officers, directors, employees, instructors, contractors, representatives, service providers, licensors, and affiliates will not be liable for indirect, incidental, special, punitive, consequential, or similar damages arising from participation in a Course or use of Course materials.
To the fullest extent permitted by law, you release and hold harmless Preferred Systems and its instructors, employees, contractors, representatives, and affiliates from claims arising from your participation in a Course except where such release is prohibited by law. If Preferred Systems is found liable for a claim arising directly from a Course or Course materials, its aggregate liability will not exceed the amount you paid Preferred Systems for the Course giving rise to the claim, except where applicable law requires otherwise.
11. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Preferred Systems and its instructors, officers, directors, employees, contractors, agents, representatives, affiliates, successors, and assigns from claims, damages, liabilities, costs, or expenses arising from your unlawful conduct, violation of these Terms, misuse of Course materials, or infringement of another person’s rights.
12. Personal information and regulatory reporting
Preferred Systems may collect, use, maintain, and disclose information necessary to:
- Register Students and administer Courses;
- Verify attendance and participation;
- Issue completion records or certificates;
- Report continuing education credit and maintain regulatory records;
- Administer third-party certification programs; and
- Comply with legal or regulatory obligations and operate educational programs.
When you request credit or participate in a third-party certification program, you authorize Preferred Systems to exchange necessary identifying and participation information with applicable boards, agencies, certification organizations, instructors, Course sponsors, and other authorized entities. Preferred Systems may also disclose information when reasonably necessary to comply with legal or administrative process. Student records may be transferred as part of an acquisition, reorganization, merger, transfer, or sale, subject to applicable law.
13. Dispute resolution
Any controversy or claim arising out of or relating to these Terms or your participation in a Course shall be resolved through arbitration administered by the American Arbitration Association under its applicable Commercial Arbitration Rules, unless arbitration is prohibited by applicable law. Unless otherwise agreed, arbitration shall take place in Erie, Pennsylvania, or another location in Pennsylvania selected by Preferred Systems. Arbitration expenses will be allocated as permitted by applicable law and the applicable rules.
14. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where another jurisdiction’s law is required to apply.
15. Jurisdiction and venue
For any dispute not subject to arbitration, the parties consent to jurisdiction and venue in the applicable state or federal courts located in Erie County, Pennsylvania, except where applicable law requires otherwise.
16. Changes to these terms
Preferred Systems may revise these Terms to reflect changes in its educational programs, policies, legal requirements, regulatory requirements, or business practices. The version applicable to a Course will generally be the version presented or made available at the time of enrollment, unless a change is required by law or a regulatory authority. The “Last updated” date identifies the most recent revision.
17. No third-party beneficiaries
These Terms are intended for the benefit of Preferred Systems and the Student and do not create rights or remedies for any other person or entity except as otherwise expressly provided.
18. Entire terms
These Terms, together with applicable Course descriptions, registration requirements, published policies, and Course-specific requirements presented at enrollment, govern your enrollment and participation. If a Course-specific requirement conflicts with these Terms because of a state licensing board, regulatory agency, certification organization, or other applicable authority, the requirement of that authority will control to the extent necessary for regulatory compliance.
State-specific student terms
Some states require additional disclosures or policies. These supplements apply together with the general Student Terms & Conditions when you enroll for credit in that state.
